DISPUTE RESOLUTION
Option 1: Litigation in Texas Courts
Any legal action of whatever nature brought by either you or us (collectively, the “Parties” and individually, a “Party”) shall be commenced or prosecuted in the state and federal courts located in Harris County, Texas, and the Parties hereby consent to and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such courts.
The application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act (UCITA) is expressly excluded from these Terms and Conditions.
In no event shall any claim, action, or proceeding brought by either Party related in any way to the Site be commenced more than 1 year after the cause of action arose.
Option 2: Informal Negotiations and Arbitration
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms and Conditions (each a “Dispute” and collectively, “Disputes”), the Parties agree to first attempt to negotiate any Dispute informally for at least 30 days before initiating arbitration. Informal negotiations begin upon written notice from one Party to the other.

Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute shall be finally and exclusively resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”), available at www.adr.org.
Arbitration fees and arbitrator compensation shall be governed by the AAA Consumer Rules and, if deemed excessive by the arbitrator, we will pay all arbitration-related fees. Arbitration may be conducted in person, via documents, phone, or online. The arbitrator must apply applicable law and may be challenged for failure to do so.

Unless otherwise required by AAA rules or applicable law, arbitration will take place in Harris County, Texas. The Parties may go to court to compel arbitration, stay proceedings, or confirm/vacate an award.

If any part of this arbitration clause is found to be unenforceable, the Dispute shall be resolved in the courts of Harris County, Texas, and the Parties consent to personal jurisdiction therein.
No arbitration shall be joined with another proceeding. Disputes may not be arbitrated on a class-action basis or in any representative capacity.

Exceptions to Arbitration
The following Disputes are excluded from arbitration:

Enforcement or validity of a Party’s intellectual property rights;

Allegations of theft, piracy, invasion of privacy, or unauthorized use;

Claims for injunctive relief.
Option 3: Direct to Binding Arbitration (No Informal Negotiations)
If preferred, the Parties may instead elect to bypass informal negotiations and proceed directly to binding arbitration under the same AAA rules as outlined above. All limitations, procedures, exceptions, and jurisdictional clauses from Option 2 apply here as well, excluding the 30-day negotiation requirement.
In this case, no Dispute may be commenced more than 1 year after the cause of action arose.
CORRECTIONS
The Site may contain typographical errors, inaccuracies, or omissions regarding descriptions, pricing, availability, or other content. We reserve the right to correct these and to update or change Site content at any time without prior notice.
